This End-User License Agreement (hereinafter “Agreement”) is a legal contract between you (hereinafter referred to as “You/Your/User/End User”) and Hermion Technologies Private Limited with its registered office at Teerth Technospace, Teerth2Work-1st, Old Mumbai - Pune Highway, behind Mercedes-Benz Showroom, Baner, Pune 411045, Maharashtra, India hereinafter referred to as “Hermion / Service Provider”), for access to the Hermion Software Platform named Solutine (“Platform”).

Additionally, please carefully go through the privacy policy available on the Solutine App (“Privacy Policy”) before You decide to access or use the Platform provided by Hermion. This Agreement and the Privacy Policy together constitute a legal agreement between You and Hermion in connection with Your use of the Platform and Your use of the associated services.

BE SURE TO CAREFULLY READ AND UNDERSTAND ALL OF THE RIGHTS AND RESTRICTIONS DESCRIBED IN THIS AGREEMENT AND PRIVACY POLICY BEFORE USING THE PLATFORM. BY USING THIS PLATFORM, YOU INDICATE YOUR PERSONAL ACCEPTANCE AND YOUR CONCURRENCE TO BE BOUND BY THE TERMS OF THIS AGREEMENT AND PRIVACY POLICY. IF YOU DO NOT AGREE TO THE TERMS OF THIS AGREEMENT OR PRIVACY POLICY, PLEASE DO NOT USE THE PLATFORM.

The Agreement is published in compliance of, and is governed by the provisions of Indian law, including but not limited to:

  • the Indian Contract Act, 1872, and
  • the (Indian) Information Technology Act, 2000.

You hereby acknowledge that Hermion has designed and developed certain proprietary software, to be used by coaches or trainers (“Subscriber”, “Coach”, “Life Coach”) for delivering or rendering Life Coaching Services (“Services”) to the individuals or entities (“You/Your/User/End-User”) (“Purpose”). You desire to use the Platform for the Purpose or for availing Services from the Subscriber, and not for redistribution.

1. ACCEPTING THE TERMS:

1.1 You represent and warrant that You are competent and eligible to enter into a legally binding agreement and You are not a person barred from receiving the Services including any restriction under ‘Do Not Call Registry’, provided on the portal.

1.2 You agree to have reasonable opportunity and time to read, understand and take proper advice.

1.3 You agree that the END USER AGREEMENT OR ITS TERMS are in all respects fair, reasonable and necessary in the legitimate business interests of the Service Provider.

1.4 In order to avail the Services, online registration is required. You agree that any registration information required by the Service Provider or the Subscriber will always be accurate, correct and complete. Service Provider or the Subscriber reserves the right at all times to disclose any information as Service Provider deems necessary to satisfy any applicable law, regulation, order from competent court and Government request.

1.5 You agree and understand that You are solely responsible for maintaining the confidentiality of Your username and password and for all the transactions undertaken using Your password and username. You will be responsible to change the password immediately, if You believe Your password has been compromised. Service Provider shall not be responsible for any financial loss, inconvenience or mental agony resulting from misuse of Your username and password.

2. FEES AND PAYMENTS:

2.1 End User/You shall pay the fees to the Service Provider/Hermion for the Services availed from the Subscriber/Coach in accordance with the rates mentioned on the Solutine App. Taxes, as applicable, shall be charged extra.

2.2 Cancellation and Refund Policy: In the event the Subscriber with whom You have booked a paid appointment via the Platform, has not been able to meet You; You will need to write to us at connect@solutinepro.com within five (5) calendar days from the occurrence of such event; in which case, the entire consultation fees or amount as mentioned on the Platform will be refunded to You within the next five (5) to six (6) business days in the original mode of payment done by You while booking. In case where You do not show up for the appointment booked with a Subscriber/Coach, without cancelling the appointment beforehand, the amount will not be refunded. However, where cancellation charges have been levied, You would still not be entitled to refund even if You have cancelled beforehand. You will not be entitled for any refund in cases where, the Subscriber/Coach is unable to meet You at the exact time of the scheduled appointment time and You are expected or required to wait, irrespective of the fact whether You are required to wait or choose to not obtain the Services from the said Subscriber/Coach.

Any reimbursement claim made by the End User after 30 days of the appointment will not be entertained.

3. TERMS OF USE APPLICABLE TO YOU / END USERS:

3.1 Service Provider may collect, directly or indirectly, and display on the Platform, relevant information regarding the profile and practice of the Subscriber/Coach. Service Provider takes reasonable efforts to ensure that such information is updated at frequent intervals. Although Service Provider screens and vets the information and photos submitted by the Subscriber/Coach, it cannot be held liable for any inaccuracies or incompleteness represented from it, despite such reasonable efforts.

3.2 The Platform provided by Hermion/Service Provider is provided on an "as is'' and “as available’ basis, and without any warranties or conditions (express or implied, including the implied warranties of merchantability, accuracy, fitness for a particular purpose, title and non-infringement, arising by statute or otherwise in law or from a course of dealing or usage or trade). Hermion/Service Provider does not provide or make any representation, warranty or guarantee, express or implied about the Platform or the Services provided by the Subscriber/Coach. Hermion/Service Provider does not guarantee the accuracy or completeness of any content or information provided by Subscriber/Coach on the Platform. To the fullest extent permitted by law, Hermion/Service Provider disclaims all liability arising out of Your use or reliance upon the Platform, or the Services.

3.3 If Hermion/Service Provider determines that You have provided fraudulent, inaccurate, or incomplete information, including through feedback, Hermion/Service Provider reserves the right to immediately suspend Your access to the Platform or any of Your accounts with Hermion/Service Provider for the protection of its business and in the interests of the Subscriber. You shall be liable to indemnify Hermion/Service Provider for any losses incurred as a result of Your misrepresentations or fraudulent feedback that has adversely affected Hermion/Service Provider, Subscriber, or its other end users.

3.4 Neither Hermion/Service Provider nor the Subscriber/Coach is involved in providing any healthcare, medical advice, or medicinal diagnosis and hence is not responsible for any interactions between You/End User and the Subscriber/Coach.

3.5 NOT FOR EMERGENCY USE: The Services from the Subscriber/Coach are not intended to be a substitute for getting in touch with emergency healthcare. If You are an End User facing a medical emergency, please contact an ambulance service or hospital directly.

3.6 The Hermion Platform, or the Services from the Subscriber/Coach are not intended to be a substitute for the emergency healthcare and suicide prevention; or (j) Subscriber will not use the Platform for prescribing medicines towards curing any illness, disease, or injury.

3.7 You are allowed to provide feedback about Your experiences with the Subscriber/Coach, however, You shall ensure that the same is provided in accordance with applicable law.

4. PRIVACY:

By using this Platform, You agree that any information shared by You with Hermion/Service Provider, Platform, or Subscriber/Coach will be subject to Hermion/Service Provider’s Privacy Policy.

5. YOUR/END USER OBLIGATIONS:

You are prohibited from:

5.1 violating or attempting to violate the integrity or security of the Platform.

5.2 intentionally submitting on the Platform any incomplete, false or inaccurate information.

5.3 attempting to decipher, decompile, disassemble or reverse engineer the Platform.

6. SUSPENSION OR TERMINATION:

In case of breach of or non-compliance with any applicable laws, rules or regulations, or this Agreement (including the Privacy Policy) by You/End User, Hermion/Service Provider has the right to immediately suspend or terminate Your access or usage rights to the Platform and/or Services.

7. LIMITATION OF LIABILITY:

IN NO EVENT SHALL HERMION/SERVICE PROVIDER BE LIABLE TO YOU/END USER FOR ANY LOST OR CORRUPTED DATA, DOWNTIME, LOST PROFITS, BUSINESS INTERRUPTION, REPLACEMENT SERVICE OR OTHER SPECIAL, INCIDENTAL, CONSEQUENTIAL, PUNITIVE OR INDIRECT DAMAGES, HOWEVER CAUSED AND REGARDLESS OF THEORY OF LIABILITY, INCLUDING WITHOUT LIMITATION NEGLIGENCE, AND IN NO EVENT SHALL THE TOTAL AGGREGATE LIABILITY OF HERMION/SERVICE PROVIDER, FOR ALL CLAIMS ARISING OUT OF OR UNDER THIS AGREEMENT, EXCEED THE AMOUNT OF INR 1,000.

8. APPLICABLE LAW AND JURISDICTION:

Any dispute, claim or controversy arising out of or relating to this Agreement, will be governed by the laws of India and the courts in Pune shall have exclusive jurisdiction over any disputes arising out of or in relation to this Agreement.

10. SEVERABILITY:

If any provision of the Agreement is held by a court of competent jurisdiction to be unenforceable under applicable law, then such provision shall be excluded from this Agreement and the remainder of the Agreement shall be interpreted as if such provision were so excluded and shall be enforceable in accordance with its terms; provided however that, in such event, the Agreement shall be interpreted so as to give effect, to the greatest extent.

COMMUNITY GUIDELINES

Solutine is a reflection of our diverse culture, age group and community of beliefs. We've spent a lot of time thinking about different perspectives that create a safe and open environment for everyone.

We've created community guidelines so You can help us promote these unique communities. By using Solutine, You agree to these Guidelines and our Terms & Conditions. We are committed to these guidelines and we hope You are committed to them as well. Violation of these limits may result in content being deleted, accounts being disabled, or other restrictions being imposed.

In some cases, we allow content that may otherwise be contrary to our Community Guidelines - if that content is distributable and in the public interest, for public awareness purposes. We do this only after considering the public interest in the risk of harm in making this decision, and we also consider international human rights standards.

  • Only share photos and videos You have taken. Share only what You have the right to share.

    As always, the content You post on Solutine belongs to You. Remember to post valid content and do not post anything You copy or compile from the Internet, as well as any content You do not have the right to post. Learn more about intellectual property rights.

  • Post photos and videos that are suitable for a wide variety of audiences.

    We know that people sometimes want to share nude images that are artistic or creative but for many reasons, we don't allow nudity on Solutine. This includes photos and videos as well as some digitally-created content that may feature physical contact, genitals, and full naked buttocks. This includes photos of women's nipples but also photos taken for breastfeeding purposes, as well as photos of birth and postpartum moments, health-related conditions (for example, post-mastectomy, breast cancer awareness or gender reassignment surgery) or prohibition action. There is also no problem with nudity in photos of paintings and sculptures.

    People love to share photos or videos of their children. For safety reasons, we may sometimes remove images showing nude or partially naked children . Even when this content is well-intentioned, it is impossible to predict how others will use it. You can learn more on the tips for our parent page .

  • Encourage meaningful and genuine interactions.

    Help us stay spam-free by not falsely gaining likes, followers or shares, not posting repetitive comments, or repeatedly contacting people for business purposes without their consent. Don't offer or pay for likes, followers, comments or other engagements. Don't post content that promotes, promotes, offers, solicits or trades, engaging in fake or misleading user reviews or ratings.

    You do need to use Your real name on Solutine and we also need to provide accurate and up-to-date information to our Solutine users. Do not impersonate others and do not create accounts for the purpose of violating our guidelines or misleading others.

  • Obey the law.

    Solutine is not a place where terrorism, planned crime, or hatred of groups is supported or praised. Offering sexual services , buying or selling firearms, alcohol and tobacco products in private, and buying and selling illicit or prescription drugs (even if legal in Your area). Solutine prohibits the sale of live animals to individuals in private, even if they are sold in real stores. No one can coordinate the work of hunting them or selling endangered species or parts of them.

    Always remember to follow the law when offering to sell or buy other regulated goods. Before using any of our products, accounts promoting online gambling, online skill games, or online lotteries require our prior permission.

    We have zero-tolerance when it comes to sharing sexual content that involves ignorance or threatening to post intimate images of others.

  • Respect other members of the Solutine community.

    We want to encourage a positive, diverse community. We remove content that contains certain types of threats or hate speech, as well as content that targets people for defamation or insult, personal information used to blackmail or harass someone, and frequently send unwanted messages. We usually allow strong conversations between people who are featured in the news or who have a large audience because of their business or the activity they choose.

    It is never appropriate to incite violence or attack a person on the basis of his or her clan, ethnicity, national origin, sex, gender identity, sexual orientation, religious affiliation, disability or disease. When hate speech is shared to challenge or create awareness, we may allow it. In those cases, we ask You to state Your intent clearly.

    Serious threats to public and personal safety are not permitted. These include threats of bodily harm as well as threats of theft, vandalism and financial loss. We carefully review threats and consider a number of factors when deciding whether or not to believe a threat.

  • We maintain our collaborative environment without appreciating self-harm.

    The Solutine community cares for each other, and it's always a place where people who have serious problems with eating disorders, cuts, or other forms of self-harm come together to raise awareness or seek help. We try to do our part by providing education through the app and adding information to the help center so people can get the help they need.

    Encouraging or urging people to injure themselves is against this collaborative environment and we will remove them or disable those accounts if they report such accounts to us. We remove content that identifies people who have been targeted for attack or mood swings, victims or survivors of self-harm.

  • Think carefully when posting newsworthy events.

    We understand that many people use Solutine to share important and newsworthy events. Some of these versions may contain graphic images. Since different people and groups of different ages use Solutine, we make videos with intense graphic violence to make sure Solutine is right for everyone.

    We understand that people always share this type of content to protest, to create awareness, or to educate. If You are sharing content for these reasons, we encourage You to introduce Your photo with a warning about graphic violence. Sharing graphic images or inciting violence to enjoy grief is never allowed.

Help us keep the community strong:

  • Each of us is an important part of the Solutine community. If You see something that violates our guidelines, please help us by using our built-in reporting option. We have a global team reviewing these complaints and will try to remove content that does not meet our guidelines as soon as possible. Even if You or someone You know doesn't have a Solutine account, You can file a complaint. Once You've finished reporting, try to provide as much information as possible, such as links, usernames, and descriptions of the content, so we can find it quickly and review it quickly. We may remove the entire post if the image or associated image violates our guidelines.
  • You may see content that You do not like but does not violate community guidelines. If that happens, You can unfollow or block the person who posted the content. If there is something You don't like in a comment on one of Your posts, You can delete that comment.
  • Many disputes and misunderstandings are resolved directly within the community. If someone posts a photo or video from one of Your photos or videos, You can try to comment on the post and ask that person to remove it. If this doesn't work, You can file a copyright complaint. If You think someone is infringing Your trademark, You can file a trademark complaint. Don't target the person posting by posting screenshots and drawing attention to the situation as harassment can be categorized as such.
  • We can work with law enforcement when we feel there is a risk of bodily harm or a threat to public safety.
